What Is the IP Ownership of OEM Supplement Formulas

For companies planning to launch their own private label supplements, one of the most pressing questions before entering into a partnership is: "Who owns the formula?" Many clients raise similar concerns when communicating with OEM manufacturers: "If the factory helps me develop the formula, will the formula belong to my brand once the product hits the market?" "Can the factory offer the same formula to other customers?"

In reality, ownership of intellectual property rights for a formula cannot be simply answered by "who owns it." Instead, it depends on the collaboration model, development approach, and contractual agreements between both parties.

 Three Common Formula Collaboration Models

 1. Customer Provides the Formula

If the brand already has an established formula and merely entrusts the manufacturer with production, the intellectual property rights typically remain with the customer.

Under this model, the OEM manufacturer is responsible for producing according to specifications and must uphold confidentiality obligationsprohibiting unauthorized disclosure or use of the clients formula to third parties. To further safeguard interests, both parties usually sign a Non-Disclosure Agreement (NDA) or include clear IP clauses in the manufacturing contract.

 2. Factory Provides Established Formulas

Many OEM factories maintain their own libraries of standardized formulasfor example, sleep gummies, probiotics, collagen, or sports nutrition products.

Clients can directly select these existing formulas and customize them under their own brand. In such cases, the brand generally holds the right to sell the product, but the research and development outcomes and intellectual property rights of the formula itself usually remain with the manufacturer. The manufacturer may also supply the same or similar formulas to other clients; whether exclusive rights apply should be determined by the specific contractual terms.

 3. Joint Development or Customized R&D  When a client has unique requirementssuch as innovative formulations, proprietary ingredient combinations, or specific functional claimsthe two parties may collaborate on product development.  In this scenario, ownership of the formula must be clearly defined at the outset, including who bears R&D costs, who owns the resulting intellectual property, whether exclusive manufacturing rights are granted, and how future improvements or modifications will be handled. Clarifying these details early helps prevent disputes down the line.

 How to Protect the Commercial Value of Your Brand's Formula?

For companies aiming to build long-term brands, focusing solely on formula ownership is insufficient. Establishing a robust intellectual property protection system is essential.

 Before partnering, consider the following key aspects:

Clearly define ownership and usage rights of intellectual property;

Sign NDAs and incorporate relevant confidentiality clauses;

Specify whether exclusive manufacturing or sales rights are granted;

Document in writing agreements regarding R&D expenses, formula optimization, and future upgrades;

Maintain thorough records of R&D processes, testing reports, and project communications as evidence for future rights enforcement.

 These measures effectively reduce collaboration risks and help sustain the brands long-term competitive advantage.

 BioFlexOEM is a mature OEM manufacturer that not only possesses strong R&D and production capabilities but also maintains a comprehensive intellectual property management system, ensuring transparency and compliance throughout formula confidentiality, contract management, and project execution.

 For projects involving customized R&D, we recommend thoroughly discussing the source of the formula, development approach, and IP arrangements prior to formal cooperation, and clearly defining each partys rights and responsibilities through contracts. This protects brand interests while providing stable support for future product development and market expansion.
